These Terms of Service ("Terms") govern your access to and use of the Leadmatix service (the "Service") provided by Webmatix Limited ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You represent that you have the authority to enter into these Terms on behalf of yourself or the entity you represent, and that you will comply with all applicable laws.

2. Accounts

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately of any unauthorized use or security breach.

3. Subscription and billing

The Service is offered on a subscription basis as described at the time of order. Fees are non-refundable except where required by law. We may change prices upon renewal by providing reasonable notice.

4. Acceptable use

You agree not to misuse the Service, including by attempting to interfere with normal operation, reverse engineering, breaching or probing security, sending spam or unlawful content, or infringing rights of others.

5. Your content and leads

You retain ownership of content you provide and leads captured on your website. You grant us a limited, non-exclusive, royalty-free licence to process such data solely to operate and improve the Service, subject to our Privacy Policy.

6. Intellectual property

The Service, including software, designs, and trademarks, is owned by us or our licensors and is protected by law. No rights are granted except as expressly set out in these Terms.

7. Service availability

We strive to keep the Service available and secure, but we do not guarantee uninterrupted operation. We may modify, suspend, or discontinue features with reasonable notice where practical.

8. Warranties and disclaimers

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising from or in connection with the Service. Our aggregate liability shall be limited to the fees paid by you to us for the twelve (12) months preceding the event giving rise to the claim.

10. Indemnity

You agree to indemnify and hold Webmatix Limited harmless from claims, damages, liabilities, and expenses arising from your use of the Service, your content, or your breach of these Terms or applicable law.

11. Term and termination

Either party may terminate for material breach if not cured within a reasonable period after notice. Upon termination, your right to use the Service ceases. Sections intended to survive termination shall survive.

12. Privacy

Your use of the Service is subject to our Privacy Policy, which explains how we handle personal data.

13. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of England and Wales, and you agree to the exclusive jurisdiction of the courts of England and Wales.
